National Fuel declares quarterly dividend, reports voting results from stockholders meeting

WILLIAMSVILLE — The Board of Directors of National Fuel Gas Company has approved payment of a regular quarterly dividend of 40.5 cents per share on the company’s common stock.

The dividend is payable April 14 to shareholders of record at the close of business on March 31. The company has approximately 85.3 million shares of common stock outstanding. It has no preferred stock outstanding.

At the annual meeting of stockholders, the company announced preliminary results of the shareholder vote on five proposals. Approved were the election of Rebecca Ranich, Jeffrey W. Shaw, Thomas E. Skains and Ronald J. Tanski as directors for terms to expire in 2020, advisory approval of named executive officer compensation, reapproval of the 2012 Annual At Risk Compensation Incentive Plan and ratification of the appointment of PricewaterhouseCoopers LLP as the company’s independent registered public accounting firm. In the advisory vote on the frequency of future “say on pay” votes, the one-year option received a majority of the votes cast.
